  BOARD OF DIRECTORS
Bruce L.A. Carter, Ph.D.S Bruce L.A. Carter, Ph.D.
Dr. Carter was appointed Chairman of the Board in April 2005.
Dr. Carter has been ZymoGenetics' Chief Executive Officer since April 1998. Dr. Carter first joined ZymoGenetics in 1986 as Vice President of Research and Development. In 1994, he was chosen as Corporate Executive Vice President and Chief Scientific Officer for Novo Nordisk A/S, the former parent company of ZymoGenetics. He was elected to the board of ZymoGenetics in 1987 and was appointed president of the company in 1998. Dr. Carter led the negotiations that established ZymoGenetics as an independent company from Novo Nordisk in 2000. Dr. Carter held various positions of increasing responsibility at G.D. Searle & Co., Ltd. from 1982 to 1986 and was a Lecturer at Trinity College, University of Dublin from 1975 to 1982. Dr. Carter received a B.Sc. with Honors in Botany from the University of Nottingham, England, and a Ph.D. in Microbiology from Queen Elizabeth College, University of London.
James A. Harper
James A. Harper was appointed as a director in July 2004. Mr. Harper has thirty years of global marketing, operations and strategic experience in the pharmaceutical and medical device industries, and recently retired from the post of Group Vice President of Global Marketing and Sales at Eli Lilly and Company. Mr. Harper currently is also the Vice Chair of the Board of the American Diabetes Association Research Foundation. Mr. Harper holds an M.B.A. from the Wharton School in Marketing/Finance and a B.A. from Vanderbilt University in Biology.
Judith Hemberger Judith A. Hemberger, Ph.D.
Judith Hemberger, Ph.D., was appointed as a director in March 2006. She has over 25 years of global pharmaceutical and biotech industry experience. Dr. Hemberger was a founder of Pharmion Corporation and served as Executive Vice President and Chief Operating Officer from 2000 to 2006. Prior to this, Dr. Hemberger served as a consultant to healthcare companies and worked for Marion Laboratories, Marion Merrell Dow and Hoechst Marion Roussel, where she was responsible for leading strategic functions such as global medical affairs, global regulatory affairs and commercial development. Dr. Hemberger received a B.S. in biology and chemistry from Mount St. Scholastica College (St. Benedictine College), a Ph. D. in Pharmacology from the University of Missouri and an M.B.A from Rockhurst College.
David I. Hirsh, Ph.D. David I. Hirsh, Ph.D.
Dr. Hirsh has served as a director since November 2000. Dr. Hirsh is Executive Vice President of Research at Columbia University, where he served as the Robert Wood Johnson, Jr. Professor and Chairman of the Department of Biochemistry and Molecular Biophysics at the College of Physicians and Surgeons of Columbia University since 1990. From 1984 to 1990, he served as Executive Vice President of Research at Synergen, Inc., a biotechnology company. From 1971 to 1985, he served as a Professor at the University of Colorado. Dr. Hirsh received a B.A. in Biology from Reed College and a Ph.D. in Biochemistry from Rockefeller University.
Jonathan S. Leff Jonathan S. Leff
Mr. Leff has served as a director since November 2000. Since January 2000, Mr. Leff has served as a General Partner of Warburg, Pincus & Co., which is the Managing Partner of Warburg Pincus LLC, and as a Managing Director of Warburg Pincus LLC, a private equity investment firm. From January 1999 to December 1999, Mr. Leff served as a Vice President of Warburg Pincus LLC and as an Associate from July 1996 to December 1998. Mr. Leff currently serves as a director of InterMune, Inc. and Transkaryotic Therapies, Inc. Mr. Leff received a B.A. in Government from Harvard College and an M.B.A. from Stanford University.
David H. MacCallum David H. MacCallum
Mr. MacCallum is Managing Director of Outer Islands Capital, a hedge fund specializing in health care investments. He served as Global Head of Health Care investment banking for Salomon Smith Barney and formed the Life Sciences group at UBS Securities, where he was Managing Director and Global Head of Life Sciences. Prior to that, Mr. MacCallum built the health care practice at Hambrecht & Quist, an investment banking firm, where he was Head of Health Care and Co-Head of Investment Banking. Mr. MacCallum received an A. B. degree from Brown University and an M.B.A. degree from New York University. He holds the Chartered Financial Analyst designation.
Kurt Anker Nielsen Kurt Anker Nielsen
Mr. Nielsen has served as a director since June 1997. From December 2000 to September, 2003, when he retired, Mr. Nielsen served as Co-Chief Executive Officer of Novo A/S. Mr. Nielsen held numerous positions within the Novo Nordisk organization since joining Novo Nordisk in 1974, including Deputy Chief Executive Officer, Chief Financial Officer, Executive Vice President of Corporate Finance, Vice President of Corporate Planning and Communications, and Head of the Corporate Planning Department. Prior to joining Novo Nordisk, Mr. Nielsen served as a management consultant at Booz, Allen and Hamilton of Scandinavia. He also served as a business economist at Carlsberg A/S in Denmark. Mr. Nielsen serves as a director of Coloplast A/S, DakoCytomation A/S, Novo Nordisk A/S and Novozymes A/S. Mr. Nielsen received a B.A in Economics and an M.A. in Commerce from the Copenhagen Business School.
Edward E. Penhoet, Ph.D. Edward E. Penhoet, Ph.D.
Dr. Penhoet has served as a director since May 2000. Since September 2000, Dr. Penhoet has been a director of the Alta Biopharma II Fund at Alta Partners, a venture capital firm. Dr. Penhoet is past President of the Gordon and Betty Moore Foundation, where he served since 2002 as Chief Program Officer, Science and Higher Education. He served as Dean of the School of Public Health at the University of California, Berkeley from July 1998 to July 2002. From May 1998 to February 2001, he served as Vice Chairman of the board of Chiron Corporation, a biotechnology company, which he co-founded in 1981. From 1981 to May 1998, he served as President, Chief Executive Officer and a director of Chiron. From 1971 to 1981, he was a faculty member in the Department of Biochemistry at the University of California, Berkeley. Dr. Penhoet currently serves as a director of Chiron and several privately held companies. Dr. Penhoet received a B.A. in Biology from Stanford University and a Ph.D. in Biochemistry from the University of Washington.
Lars Rebien Sørensen Lars Rebien Sørensen
Mr. Sørensen has served as a director since January 1996. Lars Rebien Sørensen is President and Chief Executive Officer of Novo Nordisk A/S. He joined Novo Nordisk’s Enzymes Marketing in 1982. Mr Sørensen was appointed member of Corporate Management in May 1994 and given special responsibility within Corporate Management for Health Care in December 1994. He was appointed president and CEO in November 2000. Mr Sørensen is a member of the Board of DONG Energy A/S, Denmark, as well as a member of the Bertelsmann AG Supervisory Board, Germany. Mr Sørensen received the French award Chevalier de l'Ordre National de la Légion d'Honneur in 2005. Mr Sørensen has an MSc in Forestry from The Royal Veterinary and Agricultural University in Denmark, and a BSc in International Economics from the Copenhagen Business School, Denmark.

Chairman of the Board and Chief Executive Officer

Dr. Carter was appointed Chairman of the Board in April 2005. Dr. Carter has been ZymoGenetics' Chief Executive Officer since April 1998. Dr. Carter first joined ZymoGenetics in 1986 as Vice President of Research and Development. Michael J. Dwyer Michael J. Dwyer
Senior Vice President, Sales and Marketing

Mike Dwyer joined ZymoGenetics in May 2006 as Senior Vice President of Marketing and Sales. Mr. Dwyer has nearly thirty years experience in biologic and pharmaceutical marketing and sales. He is responsible for ZymoGenetics’ sales, marketing and operations/logistics team. Prior to ZymoGenetics, Mr. Dwyer served as Vice President, Diabetes Sales for Novo Nordisk, where he was responsible for planning and implementing selling strategies, designing launch strategies and operations and recruiting sales forces for the U.S. launch of NovoSeven® and Norditropin®. Mr. Dwyer has held positions in marketing and sales at Bayer/Miles Inc. where he assisted in developing the introductory strategy and product launch for Kogenate® (recombinant Factor VIII). Mr. Dwyer also served as Vice President of Marketing and Materials Management for Caremark Therapeutic Services, a biopharmaceutical provider of home therapies and services. Mr. Dwyer holds an M.B.A. from Pepperdine University and a B.S. from University of Dayton.
Heather L. Franklin Heather L. Franklin
Senior Vice President, Business Development

Heather L. Franklin was named Senior Vice President, Business Development in June, 2008. Prior to that, she was Vice President, Business Development from January 2005 to June 2008, Senior Director, Strategic Alliance Management from July 2003 to January 2005 and Director, Strategic Alliance Management from January 2002 to July 2003. In these roles she was instrumental in negotiating and managing major partnerships with Novo Nordisk, Merck Serono and Bayer. Ms. Franklin joined ZymoGenetics in January, 2001 as Director, Research Project Management to establish a research project management system after holding roles of increasing responsibility in clinical and research project management at Amgen and Targeted Genetics from 1994 to 2001. She started her career in research roles at Seattle Biomedical Research Institute and Targeted Genetics. Ms. Franklin received a B.S. from the University of North Carolina, Chapel Hill, M.S. from the University of Washington and an M.B.A from the Wharton School of the University of Pennsylvania.
Darren R. Hamby Darren R. Hamby
Senior Vice President, Human Resources

Darren Hamby was appointed Senior Vice President, Human Resources in July 2007. Previously, Mr. Hamby served as Vice President, Human Resources from August 2004 to June 2007, Senior Director, Human Resources from September 2002 to July 2004, and Director, Human Resources from July 2000 to August 2002. Mr. Hamby joined ZymoGenetics in September 1997 to manage compensation and employee benefit programs. From 1987 to 1997, Mr. Hamby held human resources positions of increasing responsibility with the Federal Home Loan Bank of Seattle. Mr. Hamby earned a Bachelor of Business Administration degree, with an emphasis in human resources management, and an M.B.A. from Pacific Lutheran University.

Senior Vice President, Technical Operations

Dr. Himes was appointed Senior Vice President, Technical Operations in May 2006. Dr. Himes joined ZymoGenetics in November 2005 as Vice President, Commercial Manufacturing Operations. Previously, Dr. Himes served as Vice President for Worldwide Manufacturing Operations for Corixa Corporation with responsibility for manufacturing operations, process development and quality control in support of commercial and clinical supplies. From 2000 to 2003, Dr. Himes served as Vice President, Manufacturing Operations for Targeted Genetics Corporation, where he was responsible for manufacturing and clinical supply operations for gene delivery products. From 1999 to 2000, Dr. Himes served as Vice President Product Development for Genovo, Inc. Prior to that, Dr. Himes held positions of increasing responsibility over ten years with Wyeth-Lederle Vaccines, including Associate Director of Biological Development, Manager of Viral Vaccine Development and Clinical Production, and Cell Culture Pilot Plant Supervisor. Dr. Himes received a Bachelors of Arts in Chemistry from Pomona College in California and a Ph.D. in Chemical Engineering from the University of Minnesota.
James A. Johnson James A. Johnson
Executive Vice President, Chief Financial Officer and Treasurer

Mr. Johnson joined ZymoGenetics in February 2001 as Senior Vice President, Chief Financial Officer and Treasurer, bringing over 20 years of financial experience to the company. Prior to joining ZymoGenetics, he held numerous positions at Targeted Genetics Corporation, most recently as Senior Vice President and Chief Financial Officer, where he led private and public offerings, as well as establishing a joint venture program to advance the company's technology platforms. Other previous positions include Vice President of Finance at Immunex Corporation, Vice President and Controller at Safeco Properties, Inc., and Senior Auditor at Arthur Young. Mr. Johnson received a B.A. in Business Administration from the University of Washington.
Nicole Onetto, M.D. Nicole Onetto, M.D.
Senior Vice President and Chief Medical Officer

Dr. Nicole Onetto joined ZymoGenetics as Senior Vice President and Chief Medical Officer in September 2005. Dr. Onetto has over fifteen years of clinical drug development experience at leading biotechnology and pharmaceutical companies. Previously, Dr. Onetto was Executive Vice President and Chief Medical Officer at OSI Pharmaceuticals, where she headed the Development Organization and led the registration program for Tarceva (TM). Prior to that, Dr. Onetto served as Senior Vice President of Medical Affairs at Gilead Sciences and was also Senior Executive at Bristol-Myers Squibb in the oncology organization. While at BMS, she was the International Project Leader for Taxol. She also held clinical research positions of increasing responsibility at NeXstar Pharmaceuticals, Immunex and Hoechst. Dr. Onetto holds a Bachelor of Arts from the Academy of Paris (France), a Masters of Science in Pharmacology from the University of Montreal (Canada), a Doctor of Medicine degree from the University of Paris (France) and is qualified in pediatrics and hematology/oncology.
Suzanne M. Shema, J.D. Suzanne M. Shema, J.D.
Senior Vice President and General Counsel
Law and Compliance

Ms. Shema has served as our Senior Vice President, Law and Compliance since April 2003. Previously, Ms. Shema served as Vice President, Intellectual Property and Legal Affairs from December 2001 to April 2003 and Senior Director, Intellectual Property from May 2001 to December 2001. From February 2000 to May 2001, Ms. Shema served as General Counsel at aQuantive, Inc., an internet advertising company. From July 1998 to February 2000, Ms. Shema served as corporate counsel at ZymoGenetics. From 1991 to March 1998, she served as Associate General Counsel at Research Corporation Technologies, Inc., a technology management company. From 1989 to 1991, Ms. Shema served as Associate General Counsel at NeoRx Corporation, a biotechnology company. From 1985 to 1988, she served as an associate at the law firm of Seed and Berry. Ms. Shema received a B.S. in Chemistry from the University of Texas, an M.S. in Chemistry from the University of Washington and a J.D. from the University of Washington School of Law.
Doug E. Williams, Ph.D. Douglas E. Williams, Ph.D.
President and Chief Scientific Officer

Dr. Williams was named President of the company in July 2007. He joined ZymoGenetics in 2004 as Chief Scientific Officer and Executive Vice President and is responsible for the company's research and development programs. Dr. Williams has held senior level positions at a number of notable biotechnology companies, including Seattle Genetics, Immunex, Amgen and Genesis Research and Development, a New Zealand based biotechnology company. As Executive Vice President and Chief Technology Officer at Immunex, Dr. Williams played a significant role in the discovery and early development of Enbrel, the first biologic approved for the treatment of rheumatoid arthritis. In addition, Dr. Williams was a member of Immunex Corporation’s Board of Directors. Before entering the biotechnology industry, Dr. Williams served on the faculty of the Indiana University School of Medicine and worked in the Department of Laboratory Medicine at the Roswell Park Memorial Institute. Dr. Williams earned a B.S. magna cum laude in Biological Sciences from the University of Massachusetts, Lowell and a Ph.D. in Physiology from the State University of New York at Buffalo.
