Item 1.01

Entry into a Material Definitive Agreement.

On October 22, 2008, ZymoGenetics, Inc. (the “Company”) and Bristol-Myers Squibb Company entered into a Release and License Agreement under which Bristol-Myers Squibb received a nonexclusive, worldwide license to the Company’s patents claiming Ig fusion proteins in exchange for a lump sum payment of $21 million to be paid this quarter. In addition, pursuant to the agreement, the Company has terminated the related patent infringement lawsuit filed in August 2006 against Bristol-Myers Squibb relating to the product Orencia^® (abatacept).
